Terms & Conditions
Effective as of August 1, 2026
1. Introductory Provisions
These General Terms and Conditions (the "Terms") govern the contractual relationships between Codebase Solutions LLC, with its registered office at 75 E 3rd St, 82801 Sheridan, USA, email: info@codebasesolutionsllc.com (the "Provider"), and its clients (the "Client") in the provision of information technology services.
2. Scope of Services
The Provider offers in particular the following services:
- custom web and mobile application development,
- cloud infrastructure design, management and DevOps services,
- UI/UX design,
- cybersecurity services,
- IT consulting, audits and technical support.
The specific scope, price and delivery schedule are always agreed in a separate contract or a binding order.
3. Conclusion of the Contract
A contractual relationship is established by (a) signing a contract for work or a service agreement, or (b) the Client's written confirmation of the Provider's quotation (including by email). The Provider's quotations are valid for 30 days from delivery unless stated otherwise.
4. Price and Payment Terms
- The price of services is agreed either as a fixed price for the deliverable or on a time & materials basis.
- The Provider may request an advance payment of up to 50% of the agreed price before work begins.
- Invoices are due within 14 days of issue unless agreed otherwise.
- In case of late payment, the Provider may charge default interest of 0.05% of the outstanding amount per day of delay and suspend the provision of services.
5. Rights and Obligations of the Parties
- The Provider undertakes to deliver services professionally, in the agreed quality and within agreed deadlines.
- The Client undertakes to provide the cooperation necessary for proper performance — in particular materials, access and timely feedback. Delays in cooperation extend delivery deadlines accordingly.
- Changes in scope (change requests) are handled by written agreement and may affect the price and schedule.
6. Delivery and Warranty
The deliverable is considered accepted upon the Client's acceptance or upon expiry of an acceptance period of 10 business days from handover, unless the Client raises written objections within that period. The Provider warrants the functionality of the deliverable to the extent of the agreed specification for 6 months from handover, unless agreed otherwise. The warranty does not cover defects caused by third-party interference, improper use or modifications made without the Provider's consent.
7. Intellectual Property and Licenses
Copyright to works created by the Provider passes to the Client (or an exclusive license is granted) only upon full payment of the agreed price. The Provider may use third-party components (open-source libraries) in accordance with their license terms. The Provider may reference the completed project in its portfolio unless the parties agree otherwise.
8. Liability for Damages
The Provider's total liability for damages arising in connection with the performance is limited to the amount actually paid by the Client for the performance from which the damage arose. The Provider is not liable for indirect damages, lost profit or loss of data not caused intentionally or by gross negligence.
9. Confidentiality
The parties undertake to keep confidential all confidential information they become aware of in connection with the cooperation, including after the contractual relationship ends. The protection of personal data is governed by the Privacy Policy.
10. Termination
The contract may be terminated by agreement, by notice on the grounds set out in the contract, or by withdrawal in the event of a material breach by the other party. Upon termination, the Provider is entitled to payment for work actually performed up to the date of termination.
11. Final Provisions
These Terms take effect on August 1, 2026. The Provider may amend the Terms as reasonably needed; existing contractual relationships are governed by the version effective at the time the contract was concluded. Matters not covered by these Terms are governed by the law agreed in the contract. The parties undertake to resolve any disputes primarily by mutual agreement.
